Terms of Service
Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Bolder Software website (the "Service") operated by Bolder Software, LLC ("us", "we", or "our").
1. Agreement to Terms
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Provision of Software and Technology Services
Bolder Software, LLC agrees to provide the client with software development and related technology services as detailed in a separate Statement of Work (SOW) or service agreement. Services may include, but are not limited to, custom software development, web and mobile application development, systems integration, automation, and technical consulting. The specific deliverables, timelines, and scope of work will be outlined in the applicable SOW.
3. Payment Terms
Fees for services will be invoiced as per the schedule outlined in the SOW. Payments are due upon receipt of the invoice, or as otherwise specified. Failure to make timely payments may result in a suspension or termination of services. All fees are non-refundable once services have commenced.
4. Client Obligations
The client agrees to provide Bolder Software, LLC with timely access to necessary materials, data, and personnel required to perform the services. This may include access to website backends, advertising accounts, analytics platforms, and brand assets. Delays on the client's part may impact project timelines and results, for which DomainLLC is not liable.
5. Intellectual Property
Any pre-existing intellectual property of either party will remain the sole property of that party. All new source code, documentation, and related materials created by Bolder Software, LLC specifically for the client as part of the paid services ("Deliverables") will, unless otherwise specified in the SOW, become the property of the client upon full and final payment for the relevant SOW. We retain the right to reference non-confidential aspects of the Deliverables for our own promotional and portfolio purposes.
6. Limitation of Liability
In no event shall Bolder Software, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service or the results of our marketing services.
7. Termination
Either party may terminate the service agreement with written notice, typically 30 days, as specified in the SOW. Upon termination, the client is responsible for all fees incurred up to the date of termination.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Bolder Software, LLC is registered, without regard to its conflict of law provisions.
9. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms of Service on this page.
